SEC EDGAR Hours of Operation, Deadlines, and Holidays

Please note the following EDGAR filing hours and daily deadlines:

The SEC deadline to receive the same-day filing date stamps for Section 16 Ownership Reports (Forms 3, 4, and 5) 7:00 PM 8:00 PM 10:00 PM
The SEC deadline to receive the same-day filing date stamp for all other submissions. 2:30 PM 3:30 PM 5:30 PM

The acceptance date is not the same as the official filing date. If a filing is submitted after 5:30 PM or 10:00 PM EST, for non ownership reports and ownership reports respectively, it will not be deemed filed with the SEC until the following business day (except for the "T+3" filings, made pursuant to Rule 462(b), which will receive the date of the actual filing). If you have any questions about your filing's acceptance date, consult the electronic acceptance message which we forward to you after submitting your filing; these messages state the official filing date.

Changeover to the SEC's New Smaller Reporting Company System

The SEC has adopted a new system of disclosure rules for smaller companies filing periodic reports and registration statements with the SEC. The new rules are effective February 4, 2008. Form types 10QSB, 10KSB, SB-2, 10-SB, are slowly being phased out as a result of this new system. Companies with a year end of December 31st will be required to file under form types 10-K and 10-Q on reports beginning with the first quarter of 2008. Click to view a summary on the SEC web site.
