Form SH (SH-ER, SH-NT)

On October 15, 2008, the SEC issued an Interim Final Temporary Rule, Exchange Act Release No. 34-58785 extending the reporting requirements for institutional investment managers concerning information on daily short sales and short positions of certain publicly traded securities. This short sales and short position information is submitted electronically via the EDGAR system on Form SH under filing type SH-ER or SH-NT. Form SH is considered private and is not posted on the SEC's public website for viewing.

Generating and Filing Form SH Data

Filers must include with Form SH-ER an information table containing a summary of short positions. This information table must be submitted in XML format. Through using XML the numbers in the information table are digitally barcoded, enabling SEC computers to easily identify, extract, and analyze them. The SEC has provided a PDF form enabling filers to manually prepare and generate XML data for filing. This process is time consuming and potentially error-prone for those investment managers with significant holdings to report.
